Version 1. Effective date: October 15, 2026
This agreement is between Ironclad Scope LLC, a North Carolina limited liability company doing business as IroncladScope ("IroncladScope," "we," "us"), and the business that signs up for a plan ("you," "your business"). Your business's legal name, state of formation and contact person are those you enter at signup, and you keep them current. You accept this agreement by checking the box at checkout. The person accepting confirms they are authorized to bind the business.
IroncladScope is an AI-assisted messaging, quoting and scheduling service for home-service businesses. Depending on your plan, we provide:
Each plan includes a monthly allowance of conversations for one location, as shown on our pricing page and at checkout. A conversation is one homeowner and one job in which the service sends a quote, meaning a price, a price range, or an offer of a diagnostic visit. It counts once however many texts, photos and quotes it takes, and it counts whether or not the homeowner accepts the quote. A homeowner who turns a quote down still received one.
These never count, toward your monthly allowance or toward your first 10 quotes:
These rules also apply:
You can ask us for your current count at any time, and we will show it in your account once that feature is available. If you believe a conversation was counted wrongly, tell us within 30 days of the invoice that includes it. We will review it and credit any error.
Conversations past your allowance are $1.50 each on every plan, billed with your next monthly invoice. There is no cap. On an annual plan, additional conversations are billed monthly at the same rate.
We text or email you at 80% and at 100% of your allowance, and if a month runs well past your plan, we suggest the next one. We never move you to another plan without your consent. You can ask to change plans at any time. An upgrade takes effect right away with the price difference prorated, and a downgrade takes effect at the start of your next billing period.
Your card or bank account is collected at signup, and nothing is charged during your free period. Your free period ends, and your paid subscription begins, on the earlier of (a) the day your tenth quote is sent, or (b) 60 days after signup. Your ten are counted under section 4, so each conversation counts once toward them, and the cases section 4 lists never count. That rule is the same whether you have sent no quotes, some, or nine. Before you start, the checkout shows your plan, its price, how often you are billed, and the date 60 days out.
We text or email you when your eighth quote is sent, and again at least 7 days before day 60 if you have not reached ten. If you have sent no quotes by day 60, we contact you before the first charge, and you may cancel then at no cost. On the day your paid subscription begins, we text or email you that it has started. If you cancel before your paid subscription begins, you are never charged.
Your plan is charged in advance for each billing period, starting the day your paid subscription begins, and that day becomes your billing date. Additional conversations are charged in arrears with your next monthly invoice. Prices are in US dollars and exclude sales tax, which is added where the law requires it. There is no setup fee.
You authorize us, through our payment processor Stripe, to charge the payment method on file for your plan, additional conversations and applicable taxes, on each billing date until you cancel. You agree to keep a valid payment method on file. Receipts and invoices are sent by email. If you think a charge is wrong, contact us first, and we will correct any error promptly.
Annual plans are paid up front at ten times the monthly price. The allowance stays monthly. An annual plan renews automatically for another year at the then-current annual price unless you cancel before the renewal date, and we send you a reminder with the renewal price at least 30 days before it renews. You can move from monthly to annual at any time, and from annual to monthly at renewal.
Annual fees are not refunded mid-term, except as the law requires, as section 16 allows when a plan feature is removed, as section 24 allows when the service does not perform, or as section 20 allows when we end the agreement without cause.
A founding shop is an account we designate as one of no more than 20 founding shops, that signed up on or before December 31, 2026 through a founding checkout link. A founding shop pays $249 a month, or $2,490 a year, for as long as its subscription stays active. It receives the Standard plan's features as they are updated over time, the Standard plan's 200 conversation allowance, and additional conversations at $1.50 each.
Founding pricing, including the $1.50 rate, is never raised. A founding shop keeps it when it switches between monthly and annual billing, and when it pays a failed charge within 30 days of the first failure. A change in ownership does not end it while the same business entity keeps the account. Founding pricing ends if you cancel or if your subscription ends for non-payment, and it cannot be transferred to another business.
If a charge fails, Stripe retries it automatically and we contact you. The periods below count calendar days from the date of the first failed charge, in Eastern time.
If the balance is still unpaid on day 14, we may pause the assistant. While the assistant is paused, your number stays yours, new homeowner texts are forwarded to the mobile number on your account where our telecom provider can deliver them, your quote pages and records stay available to you, and no new subscription charges accrue beyond the balance owed. Paying the balance restores the service within one business day. If the balance is still unpaid on day 30, we may end your subscription under section 20, and sections 17 and 21 then govern your data and your number.
We give you at least 60 days written notice before raising a plan price or the rate for additional conversations. A change never takes effect in the middle of a billing period. On a monthly plan it applies from the first billing period that starts after the notice period ends, and on an annual plan it applies at renewal. Price changes never apply to founding pricing. Taxes and charges imposed by law can change when the law changes, without the notice period. Changes to features are covered by section 16, and changes to these terms by section 27.
The service sends conversational messages to homeowners who contact your business first, whether by text, by a call you missed, or by responding to your website or advertising that invites them to text. It is not a marketing tool.
You agree not to use it for marketing blasts, cold outreach, purchased or rented lists, or messages to anyone who has not contacted your business. You will not ask us to send a message you know is false or misleading, and you will publish your number with our consent wording wherever you invite homeowners to text.
We identify your business in the first message of each conversation, honor STOP, HELP and any reasonable request to stop texting as soon as it arrives, keep consent and opt-out records for each homeowner, observe quiet hours for messages the service starts on its own such as reminders and follow-ups, and handle your carrier registration filings. We may block or hold a message that would break carrier rules or the law. If a carrier or regulator flags your number, we may pause messaging on it while the issue is resolved, and we will tell you why.
Each of us is responsible for our own part. You are responsible for the content you write or instruct us to send and for how you invite homeowners to text. We are responsible for how our software handles opt-outs, quiet hours and registration filings. Each of us will cooperate with carrier reviews and regulatory inquiries about your number. Carrier registration fees are included in your plan. Carrier fines or charges caused by your breach of this section may be passed on to you.
Fair use. Each subscription covers one location and one business. You may not resell the service or the number, or send automated or bulk traffic through it. If your volume stays well above the Pro plan's allowance for three months in a row, we may offer a custom plan with 30 days notice.
The service uses artificial intelligence to talk with homeowners, collect job details and photos, prepare quotes from your price book, and offer appointment times. AI can misunderstand a homeowner, misread a photo or a job description, or give an incomplete or wrong answer. That is why a quote is not final until you confirm it, why unclear jobs are handed to you, and why the assistant never sets a price outside your price book.
You agree to supervise the service, respond to escalations, and review the quotes, scope and appointments that require your approval before relying on them. We test changes to the assistant before we release them and review its conversations for errors. Neither of us may tell homeowners that the service guarantees a price, an appointment or a commitment you have not confirmed.
The service watches for common emergency language, such as a gas smell, carbon monoxide, a sewage backup or flooding. When it recognizes one, it sends the homeowner a safety instruction and alerts you right away. Emergency routing is a supplemental safety feature. It cannot catch every way a homeowner may describe an emergency, it may classify a message wrongly, it does not monitor properties, and it is not an emergency dispatch service. It never replaces calling 911 or the utility company. Emergencies are your responsibility. You are responsible for responding to the emergencies we route to you and to any emergency at a homeowner's property, and to the fullest extent the law allows, IroncladScope is not responsible for any injury, damage or loss arising from an emergency, whether or not the service recognized it. Neither of us may tell anyone the service detects every emergency.
We rely on outside providers for telecommunications, AI, hosting, data storage, payments, sign-in and email. Their outages, carrier filtering of messages, and other events outside our reasonable control can affect the service. We use reasonable efforts to keep the service available, restore it quickly when it is not, and tell you about significant outages. We do not guarantee that the service will be uninterrupted or that carriers will deliver every message. We remain responsible for our own failures.
We improve the service over time and may change its features. During a paid billing period we will not remove a core feature of your plan, meaning your texting number, quoting from your price book, the quote page with booking, or emergency routing. If we remove a feature listed for your plan at signup, you may cancel and receive a prorated refund of any prepaid fees for the unused time.
As between you and us, your customer data belongs to your business. You authorize us to host, use, transmit and process it as reasonably needed to provide, maintain, secure and support the service, to comply with the law, and to enforce this agreement. We handle homeowners' information as our privacy policy at ironcladscope.com/privacy describes.
We never sell your customer data. We never share your prices or your customer list with another business. We use the invoices you give us only to build and check your price book. We may use aggregated, anonymized data, never identifying you or a homeowner, to analyze and improve the service, and you can opt out of that use by emailing us.
Our providers process customer data only to provide their services to us and are bound to protect it. We can give you a list of them on request. Our AI provider does not use your data to train its models under our agreement with it.
Connected accounts. If you connect a calendar or Microsoft Teams, we send booking details for your jobs to the account you connected. Those services are yours, under your terms with their providers. You can disconnect at any time, and we keep the access you grant us encrypted and use it for nothing else.
You can ask for an export of your price book as a spreadsheet and your quote history at any time, and we will send it within five business days. After your subscription ends, you can request an export for 90 days. We then delete your customer data within 30 days, except records the law or the carriers require us to keep, such as billing, tax, consent and opt-out records. Backup copies are overwritten in the normal backup cycle and stay protected and unused until then.
We maintain reasonable administrative, technical and physical safeguards for customer data, including encryption in transit and at rest and access that is limited to those who need it and logged. If we confirm a security incident that affects your customer data, we will notify you without unreasonable delay, tell you what we know, and cooperate with any notices the law requires, including North Carolina's breach notification law. You are responsible for the security of your own devices and logins.
You can cancel at any time by text or email to us, or from your account once that feature is available, with no fee. We confirm your cancellation in writing. Cancellation takes effect at the end of your current billing period, and the service continues until then. If you want the assistant stopped right away, tell us and we will stop it, without a refund for the rest of the period. Additional conversations already used are billed on your final invoice. If you cancel during your free period, you are never charged. Annual plans follow section 8.
We may suspend the service immediately, telling you as soon as practical, if that is needed to stop fraud, abuse, a security threat, a violation of carrier rules or the law, or harm to homeowners. We will limit a suspension to what is needed and restore the service once the issue is resolved.
We may end this agreement for non-payment under section 10, if you materially breach it and do not fix the breach within 15 days of our notice, immediately for fraud or illegal use, or for any reason with 60 days notice, in which case we refund any prepaid fees for the unused time. When the agreement ends, section 17 governs your data and section 21 governs your number.
The texting number is held in our telecom account so we can operate it for you. If your subscription ends and you ask for the number within 30 days, we will port it to the carrier of your choice at no charge, as long as your account is paid. We complete our part within 10 business days of receiving a valid port request from your new carrier with the account details we give you, and after any identity check the carrier requires. Your new carrier's processing time is outside our control. If a number cannot be ported for a legal or technical reason, we will tell you why. If the agreement ended for fraud or illegal use, porting remains subject to the law and the carriers' rules. Numbers not claimed within 30 days after the subscription ends may be released.
We will not use your name, logo, results or conversations publicly without your separate written consent. At signup or later, you may choose to allow any of the following, each on its own:
You can withdraw a permission at any time for future uses. Your permission never covers a homeowner's name, messages, photos or voice. We use those only with that homeowner's own permission.
Each of us will keep the other's confidential information private and use it only for this agreement. Confidential information means non-public business information shared under this agreement, including your price book, your customer list and our pricing terms and product plans. It does not include information that is public through no fault of the receiving party, that the receiving party already knew or developed on its own, or that it received lawfully from someone else.
Either of us may share confidential information with our employees, advisers and providers who need it and are bound to keep it confidential, and when the law requires it, giving the other party notice where the law allows. These obligations last while this agreement is in effect and for three years after, and for trade secrets as long as they remain trade secrets.
Each of us confirms that we have the authority to enter this agreement. We will provide the service with reasonable care and skill and materially as described for your plan. If it does not perform that way, tell us and we will work to fix it. If we cannot fix it within 30 days, you may cancel and receive a prorated refund of any prepaid fees for the unused time, which is your remedy for this warranty.
Beyond that, the service is provided as is. We do not guarantee that any lead becomes a booked job, that every message is delivered, or that AI output is free of errors.
To the fullest extent the law allows, each party's total liability under this agreement is limited to the fees you paid us in the three months before the claim arose. Neither of us is liable for indirect, incidental, special or consequential damages or lost profits. These limits do not apply to your obligation to pay fees, to your obligations under section 26, or to either party's fraud or willful misconduct. Nothing here limits liability that cannot be limited by law.
You will defend and indemnify IroncladScope against third-party claims, including claims by homeowners and regulators, arising from the work you perform or fail to perform, an emergency at a homeowner's property, the prices, scope, terms and warranties you confirm or give, your breach of section 12 or 13, your violation of the law, or customer data you gave us without the right to share it.
We will defend and indemnify you against third-party claims that the IroncladScope software, as we provide it, infringes a United States patent, copyright or trademark or misappropriates a trade secret. This does not cover claims caused by your content, your price book, or a combination of the service with something we did not provide. Our obligations under this section are subject to section 25.
The party seeking indemnity must notify the other promptly, let it control the defense, and cooperate reasonably. Neither of us may settle a claim in a way that admits fault for the other or binds it without its consent.
We will give you at least 30 days notice by email or text before a material change, describing what is changing. Each version is posted with its effective date, we keep a history of versions, and we record the version you accepted. Changes required by law or by the carriers may take effect sooner when that is needed. If you do not agree to a change, you may cancel before it takes effect, and on an annual plan we refund prepaid fees for the unused time. Continuing to use the service after a change takes effect means you accept it.
We send notices to the email address or mobile number on your account. You send notices to founders@ironcladscope.com, and legal notices also by mail to the address in section 31. An email or text notice is received when sent unless it bounces, and a mailed notice three business days after mailing.
If a dispute comes up, either of us will first send the other a written description of it, and we will both try in good faith to resolve it within 30 days before going to court. That step does not apply to urgent requests for court orders, the collection of unpaid fees, or security matters. North Carolina law governs this agreement. Disputes are resolved in the state or federal courts in Mecklenburg County, North Carolina. Each party pays its own attorney fees unless the law requires otherwise.
